A mutual NDA (two-way) protects confidential information shared by both parties — typical for partnership or JV discussions. A unilateral NDA (one-way) only protects the disclosing party — typical when a company shares trade secrets with a contractor or job candidate. Our NDA Generator handles both with a single toggle.
Because non-compete clauses are unenforceable or severely restricted in California (entirely void since 2024 for most employees), North Dakota, Minnesota, Oklahoma and a growing list of others. If you select one of those states, the tool shows an inline warning and suggests alternatives like an NDA or a non-solicit clause instead.
